This agreement applies as between you, the Partner and Holidays4men the operator of the www.Holidays4men.com (“Platform”). Your agreement to comply with and be bound by these terms and conditions is deemed to occur upon your sign up on the platform as a Partner. If you do not agree to be bound by these terms, you should stop using the Platform immediately. Holidays4men may amends this agreement from time to time. Every time you accept an order on the Platform, please check these Terms to ensure you understand the terms which will apply at that time.

1. Definitions and Interpretation

   1. In this Agreement the following terms shall have the following meanings:

"Partner" means Users acting as either individual accommodation hosts, who may be acting on a consumer-to-consumer basis, or managers acting on a business-to-consumer basis.

"Services" means any products, goods and/or services of a Partner offered for purchase or booking via the Platform;

“Holidays4men” means Holidays4men LTD of 27 Old Gloucester Street, London, United Kingdom, WC1N 3AX.

“Renter” / “Renters” means Users who have created an account with us and are logged into the account and have booked or are about to book a partners accommodation offered on the Holidays4men Platform;

“System” means any online communications infrastructure that Holidays4men makes available through the website either now or in the future. This includes, but is not limited to, web-based email, message boards, live chat facilities and email links; and

“User” / “Users” means any third party that accesses the Platform and is not employed by Holidays4men and acting in the course of their employment.

2. Relationship between Holidays4men and Partners

   1. The Platform allow Renters to book and pay for a broad range of services from a variety of providers (our Partners). Those Services are provided by you our Partner and not by Holidays4men.

   2. The provision of the Services booked via our Platform is the responsibility of the Partner which offers the Services on the Holidays4men Platform.

   3. In the event Renters pay for Services via the Platform, the payment will be received by Holidays4men acting as commercial agent on behalf of the Partner.

   4. The legal implications of this is that when a Renter purchases Services on the Holidays4men Platform two binding contracts are formed:

      1. a contract between the Renter and Holidays4men (under which Holidays4men has certain responsibilities to Renter in relation to the purchase or booking). That contract is made based on Holidays4men`s Terms and Conditions; and

      2. a contract between Renter and the relevant Partner in respect of the provision or supply of the Services which Renter books through the Platform. That contract is subject to the Terms and Conditions of this Agreement and includes the cancellation period selected by the Partner.

   5. All Services available for purchase on the Platform are offered by Holidays4men on behalf of its Partners. That is, Holidays4men takes and concludes your bookings as a commercial agent for its Partners. Therefore, Holidays4men is not responsible or liable for the actual Services that are booked through the Platform.

3. Nonexclusive license

   1. Holidays4men grants you a limited, revocable, non-exclusive, non-sub-licensable license to install, copy and use the Service solely as necessary for you to use the Platform; and

   2. you will not (and You will not allow any third party to)

   3. copy, modify, adapt, translate or otherwise create derivative works of the Platform;

   4. reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Platform, except as expressly permitted by the law in effect in the jurisdiction in which you are located;

   5. rent, lease, sell, assign or otherwise transfer rights in or to the Platform;

   6. remove any proprietary notices or labels placed by the Platform;

   7. use, post, transmit or introduce any device, software or routine which interferes or attempts to interfere with the operation of the Platform.

4. Services

   1. Partners are under a legal duty to provide Services that are in conformity with the relevant Service Offer.

   2. When Partner accepts a booking, or receives a booking confirmation through the Platform, Partner is entering into a contract directly with the Renter and is responsible for delivering the Service under the terms and at the price specified in the Partners Listing.

   3. Partner also agrees to pay applicable fees and applicable taxes for each booking. Holidays4men will deduct amounts Partner owes from Partners pay-out unless Holidays4men and Partner agree to a different method.

   4. Any terms or conditions that Partner includes in any supplement contract with Renters must be consistent with Holidays4men`s Terms and Conditions, Privacy Policy and this Agreement.

5. Uploading content to our Platform

   1. You irrevocably and unconditionally represent and warrant that any of your content uploaded to our Platform complies with Our Terms and Conditions; Our Privacy Policy; Our Cookie Policy; and any other applicable laws.

   2. You are fully responsible for your content uploaded to our Platform. We will not be responsible, or liable to any third party, for:

   3. the content or accuracy of any content or data uploaded by you, by us on your behalf, or any other user of our Platform; or

   4. the loss of any content or data (whether in physical or digital form) provided to us by you. You should keep a record of all such content and data.

   5. We will only use the content uploaded by you for the purposes of carrying out the Platform, carrying out our obligations in this Agreement and any other purpose expressly set out in this Agreement or otherwise agreed between us. We will not otherwise disclose or distribute the content uploaded by you, save for when required by law, a court of competent jurisdiction or any governmental or regulatory authority.

   6. We may use the content uploaded by you for the purpose of data analytics or to implement artificial intelligence or machine learning. Any such content shall be anonymized and used only for the purposes of improving the Platform and our response to users of the Platform.

   7. We have the right to disclose your identity to any third party claiming that any content posted or uploaded by you to our Platform constitutes a violation of their rights under applicable law.

6. Relationship between the Parties

The parties’ relationship, as established by this Agreement, is solely that of independent contractors. This Agreement does not create any partnership, joint venture or similar business relationship between the parties. Neither party is a legal representative of the other party, and neither party can assume or create any obligation, representation, warranty or guarantee, express or implied, on behalf of the other party for any purpose whatsoever.

7. Responsibility of the Partner

   1. Partner is responsible for understanding and complying with any laws, rules, regulations and contracts with third parties that apply to Partners Listing or Services including but not limited to

   2. homeowner and condominium association rules, restrict or prohibit subletting, short-term rentals and/or longer-term stays, hosting permits and licenses.

   3. Partners are responsible for handling and using personal data of Renters and compliance with applicable privacy laws and these Terms, including our Terms and Conditions and Privacy Policy.

   4. With respect to any material, Partner sends or posts to the Holidays4men Platform, Partner retains all ownership rights. However, by sending or posting material to the Holidays4men Platform, Partner hereby grants Holidays4men a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the such material in connection with the Holidays4men Platform and Partner’s (and its successors’ and affiliates’) business, including without limitation for promoting and redistributing part or all of the Holidays4men Platform (and derivative works thereof) in any media formats and through any media channels.

   5. Holidays4men will fully cooperate with any law enforcement authorities or court order requiring Holidays4men to disclose the identity or other details or any person posting materials to the Holidays4men Platform in breach of this agreement.

8. Resolving Issues

   1. Holidays4men cares about its user’s experience and wants to ensure Holidays4men Platform maintains the highest standards possible

   2. Any complains about a Renter should be directed to the Renter him/herself directly.

   3. Holidays4men may attempts to resolve issue`s raised with Holidays4men but is under no obligation to do so and is not responsible for the service(s) partners provide and is under no obligation to provide refunds or credit notes in the event that Renters are dissatisfied with services received from any Partner.

9. Listings, Prices and Payment

   1. Holidays4men provides a platform for Partners to set up and manage Listings. All Listings must include complete and accurate information about the Service, the price and other charges, rules or requirements that apply to a Listing.

   2. Partner is responsible for his/her acts and omissions as well as for keeping his/her Listing (including availability) and content up-to-date and accurate at all times.

   3. Partners may only post one Listing per Accommodation save for a single property offering multiple places to stay.

   4. Holidays4men will charge Partner and Partner agrees to pay Holidays4men a 5% Service charge and a 2% Administration charge (the “Charges”) on every completed booking made through the Holidays4men Platform.

   5. Holidays4men will deduct amounts Partner owes from Partners pay-out unless Holidays4men and Partner agree to a different method.

   6. The Partner has full responsibility for accounting for VAT on the total value of the Order, where applicable.

   7. Payments made through the Payment Facility are processed by third party payment services providers. Holidays4men takes reasonable care to ensure that the Payment Facility is available and functioning at all times, but cannot guarantee continuous, uninterrupted or secure access to such Payment Facility, nor can we guarantee that the facility is virus or error free.

10. Liability

    1. Where Holidays4men has been negligent and/or breached a contractual obligation to Partner, Holidays4men will be liable for any loss or damage you suffer as a result, provided that loss and/or damage is foreseeable. Loss or damage is foreseeable if it is an obvious consequence of our negligence or breach of contract or would have been considered by Holidays4men and Partner to be a likely consequence of it at the time, we entered into this Agreement.

    2. Holidays4men does not accept any liability for the following types of loss, whether caused by breach of contract, tort (including negligence) or otherwise, even if the loss is foreseeable: loss of income or revenue; loss of business; loss of profits; loss of anticipated savings; or waste of management or office time.

    3. Holidays4men does not exclude or limit our liability for death or personal injury arising from our negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot be excluded or limited under applicable law.

11. Disclaimers

    1. Holidays4men makes no warranty or representation that the Platform will meet Partner`s requirements, that it will be of satisfactory quality, that it will be fit for a particular purpose, that it will not infringe the rights of third parties, that it will be compatible with all systems, that it will be secure, and that all information provided will be accurate. We make no guarantee of any specific results from the use of the Holidays4men Platform.

    2. No part of the Holidays4men Platform is intended to constitute advice and the Content of the Holidays4men Platform should not be relied upon when making any decisions or taking any action of any kind.

12. Our right to vary these terms

Holidays4men may revise these Terms and Conditions from time to time in the following circumstances: if Holidays4men changes the process for accepting payment from users; if there are changes in relevant laws and regulatory requirements; and/or if there are any other changes to Holidays4men`s business that reasonably mean we need to amend these Terms and Conditions.

13. Availability of the Holidays4men Platform

    1. The Platform is provided “as is” and on an “as available” basis. We give no warranty that the Platform will be free of defects and / or faults. To the maximum extent permitted by the law we provide no warranties (express or implied) of fitness for a particular purpose, accuracy of information, compatibility, and satisfactory quality.

    2. Holidays4men accepts no liability for any disruption or non-availability of the website resulting from external causes including, but not limited to, ISP equipment failure, host equipment failure, communications network failure, power failure, natural events, acts of war or legal restrictions and censorship.

14. Deactivation

Holidays4men reserves the right to deactivate a Partner`s account in the event of a breach of these Terms and/or where the Partner acts in a way that is inappropriate, abusive or otherwise unacceptable towards Holidays4men employees or a Renter, either in communications via phone or email, or in person at the Partner’s venue.

15. Severance

If any of these Terms are determined by a competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law.

16. Law and Jurisdiction

These Terms will be governed by and construed in accordance with the laws of England and Wales. The Parties agree that the courts of England and Wales will have exclusive jurisdiction over any claim or dispute arising from, or related to, the ordering and/or supply of Services via the Holidays4men Platform.
